General Terms and Conditions

(herewith referred to as “Terms” or “Terms and Conditions” or “General Terms and Conditions“)

Thank you for your interest in the Services of the Business Excellence Academy, s.r.o.!

The Business Excellence Academy, s.r.o. (herewith referred to as “Business Excellence Academy” or “we” or “us”) is a consultancy firm registered in the Czech Republic with the registration number 07237375. Our VAT number is CZ 07237375.

SCOPE AND DEFINITIONS

We provide, among other consulting services, various learning sessions and events for executives, leaders and other professionals (herewith referred to as “Events” or “Event” or “Learning Sessions” or „Explorational Sessions“ or “Sessions” or “Session” or “Services”). These Events include “Webinars” (real-time sessions with a presenter or a facilitator online), face-to-face learning and training courses with an instructor, online or face-to-face workshops and 1-to-1 meetings, or other sessions in the online space or in-person.

Our customers are organizations, corporations or individual professionals purchasing our Services (herewith referred to as “Client” or “Clients” or or “Customer” or “Customers” or “You”). Executives, owners or employees of our Clients or individual professions as our Clients, who are purchasing our Services as private persons, become Participants of our Learning Sessions by listing their names in the Registration process (herewith referred to as “Participants” or “Participant”), and only those Participants are eligible to receive our Services, if not explicitly agreed with the Client otherwise.

These General Terms and Conditions apply to all purchases for participation in Events concluded between the Business Excellence Academy, s.r.o. and you as a Client. By applying and participating in any of these Events, you agree to these Terms and Conditions, and all applicable laws.

REGISTRATION

The registration for participation in the Event is generally made via our website https://ci4e.com, via E-Mail, Phone or the LinkedIn messaging system, and includes billing and Event participants’ information (herewith referred to as “Registration”).

After the Registration is submitted by the Client, we provide a Proforma Invoice for the Event Payment and reserve the seat for the participant for the next five calendar days, or in case the Registration is made less than fourteen days prior to the Event start date, for the next three calendar days to allow time for Payment. Registrations being made in less than three business days prior to the Event start are confirmed after the Payment. 

If the capacity of the Event is reached at the Registration process, we notify our Clients about alternative dates, and will reserve for the above time period the seat for the participant on the alternative date(s).

After the Payment of the Event is received on our side, we provide our Clients with a confirmation of the Payment for your accounting purposes, and confirm the Registration for the Learning Session to the participant by a calendar invitation.

For Webinars, we share the information to join the online Event via the calendar invitation at latest 24 hours prior to the Event to all confirmed participants. As we understand the business of our Clients, we might also email participants friendly reminders prior to the Event.

INFORMATION ACCURACY AND USAGE

The privacy of our Clients is important to Us. We will use the data provided during the Registration for the purposes of a given Event, and beyond that only when requested or agreed with our Client. The provided Event information is used especially for invoicing purposes, invitations, friendly reminders and follow-up after the Event. 

In general, we process information about individuals in accordance with our Privacy Policy. Please refer to the policy on our website for information on how personal information will be handled and processed by Us. 

By using our Services or website, you consent to such processing, and you promise that all personal and other data provided by you is accurate.

Intellectual property and COPYRIGHTS

Customers are prohibited from re-selling or granting access to anyone outside the Client or to more Participants than the Session was ordered for.

Business Excellence Academy, s.r.o. reserve the right to limit or deny access to users found to be in breach of these conditions.

We are the owner or the licensee of all Intellectual Property Rights in the content of our Services. No part of the Website or Services including content, information, documents, logos, names, audio, video or icons may be copied, posted, broadcast, republished or reproduced in any format whatsoever without the prior written permission of the copyright holders.

The documents and information shared with the Participant by us during the Webinar or other Events are protected by copyright. Intellectual property rights, copyright and other protective notices may neither be removed nor violated in any other way.

Any reproduction, transmission or other use of the materials provided – even in extracts – is only permitted with our express written consent.

Violations of the provisions mentioned above constitute a breach of law which can be a subject to both civil and criminal prosecution.

PAYMENT

All fees for the Learning Sessions listed on our Website (herewith referred to as “Fee” or “Fees” or “Price”) include the participation in the Learning Session itself, and exclude VAT (which will be charged at the prevailing rate in addition, unless otherwise indicated) and excluded are also any other costs, such as bank fees, payment conversion costs, costs for connecting to the Webinar, sales or other tax applied by local authorities of the Client, and any other potential additional costs occured with the Event. 

Unless otherwise agreed, we will issue a Proforma Invoice using the billing information provided in the Registration process and submit the Proforma Invoice to you electronically upon confirmed Registration. 

The payment of the invoice shall be paid in full and in cleared funds and without deduction or set-off to our bank account stated on the invoice in a timely manner (herewith referred to as “Payment” or “Payments”).

For orders paid at least 30 days prior to the start date of the Event, we offer and accept Payments with a 5% discount on the listed Event Fee.

Additionally, we will provide you with a discounted Fee per Participant, if a particular Session is purchased for at least two Participants from the same Client. In such cases, a discount of 5% from the list Price is provided for each Participant.

Upon Payment, the Client receives a Payment confirmation, which can be used for accounting purposes. The final invoice will be submitted electronically shortly after delivering the Event as a tax document.

Please note that participation in the Learning Session is possible only when the Payment is being made in full at least 24 hours prior to the Event.

We may charge additional fees for our Services only where these additional Services have been requested by you and agreed with you. For example, additional consulting or coaching time, if requested and agreed with the Client.

EVENT CHANGES & Force majeure

Event changes, in particular changes in the schedule of Events, do not mean resigning for registered Participants. We are entitled to postpone or cancel the Event at any time for a good cause (e.g. in cases of Force Majeure, too few participants, sickness of the trainer, etc.). In such a case, the Participant will be informed immediately and offered alternative date options for the Event. In the unlikely situation that we will not be able to deliver the Learning Session to you within the next nine calendar months, we will fully refund the Fee to our Clients, if not agreed otherwise with the Client.

If the Participant can not participate in the Learning Session, we encourage our Clients to contact us as soon as it is known (herewith referred to as “Participant’s Change” or “Participant’s Changes”). Such Participant’s Changes must be made at least 48 hours prior to the start of the Event. 

In such Participant’s Changes, we recommend providing the Learning Session to another Participant from the Customer side. In general, for such cases, we require only the name, role and business e-mail of the new Participant, and will register the initial Participant for another time if possible. Nevertheless, to ensure valuable experience for all Participants, especially in the case of Events dedicated to executives, we reserve the right to approve the new Participant for the Event. 

If the Client does not have another Participant to join the Event for the reserved time, we might charge the Client a fee as per the Cancelation Charges stated below. These charges for the Participant’s Changes usually apply only when we do not find another Participant from another Client for the given Learning Session date.

Neither the Customer nor Business Excellence Academy, s.r.o. as the service provider shall be liable for any failure or delay in performing their obligations under these Terms and Conditions where such failure or delay results from any cause that is beyond the reasonable control of that party. Such causes include, but are not limited to Internet Service Provider failure, power failure, civil unrest, industrial action, fire, floods, storms, earthquakes, acts of war, acts of terrorism, governmental action, or any other event that is beyond the control of the Client or the Business Excellece Academy, s.r.o. (herewith reffered above as “Force Majeure” events).

CANCELATIONS

In the unlikely situation that the Event is canceled by the Business Excellence Academy, we will refund the Fee in full to You to the account you made the Payment from.

The Participant has the option of irrevocably canceling participation in the Learning Session before it begins (herewith referred to as “Cancelation”). The Cancelation must be made in writing to the email address info@CI4e.com. 

Events can be canceled at any point. However, You will be liable to pay a percentage of the booking Fee depending on the notice given for the Cancelation (herewith referred to as “Cancelation Charges”). The Cancelation Charges apply as stated below:

  • 8 weeks’ notice or more – NO CHARGE
  • 6–8 weeks’ notice – Cancelation Charge in the amount of 25% of the Fee
  • 4–6 weeks’ notice – Cancelation Charge in the amount of 50% of the Fee
  • 2–4 weeks’ notice – Cancelation Charge in the amount of 75% of the Fee
  • Less than 2 weeks’ notice – Cancelation Charge in the amount of 100% of the Fee

Refunded Payments by the Business Excellence Academy due to the Cancelations exclude bank fees, including payment conversion fees, and other potential costs which might apply.

LIABILITY

You acknowledge and agree that our Services operate as a guide for learning or inspirational purposes only. As such, to the extent permitted by law, we accept no liability of any nature whatsoever if, following the use of our Services, a situation occurs giving you as our Client (or any of your business partners) the opportunity to apply the methods, tools, approaches or any other learning taught during the use of our Services, but notwithstanding such learning, causing a loss or damage to You (or to any of your business partners). We shall not be liable for any indirect loss or damage, such as: lost profit, lost revenues, lost savings, loss due to business interruption and any other consequential loss, or indirect loss or damage, which is the result of no, or not in a timely manner, or unsatisfactory performance.

General

These Terms will be governed by and interpreted according to the Czech Republic’s law. All disputes arising under these Terms will be subject to the jurisdiction of the Czech courts.

UPDATES OF THESE TERMS

We reserve the right to make changes to these Terms to the extent it is legally or operationally necessary or reasonable to do so. We may need to do this at any time and without prior notice to You. However, if the Terms are changed with a potential impact on you as the Client of the already confirmed Learning Session, we will inform you and share the new Terms with You.
